The Bake-it-Better Challenge (“Contest”) is sponsored by Miss Jones Baking Co., 5900 Hollis St., Suite W., Emeryville, CA 94608 (“Sponsor”).


Open to individuals who are legal residents of the 50 United States and the District of Columbia (collectively, “Territory”), at least 13 years of age at time of entry, have Internet access and a valid email address, Facebook account, or Instagram account. Employees of Sponsor, Administrator, or their respective parent, subsidiary or affiliated companies; or the advertising, promotional or fulfillment agencies of any of them (individually and collectively, “Entities”); persons who are or purport to be immediate family members (defined as biological or step-mother, father, sister, brother, daughter, son or dependent or spouse of any of the foregoing and their respective spouses, regardless of where they reside) of any person in any of the preceding categories, regardless of where they live, or who reside in the same household (i.e. live in the same household, whether related or not) as any person in any of the preceding categories are not eligible to enter or win. Neither the Entities, nor any of their officers, directors, shareholders, employees, agents or representatives (individually and collectively, “Releasees”) are responsible for entries from persons residing, or physically located, outside the Territory. Void in Puerto Rico, the U.S. Virgin Islands and other U.S. territories and possessions, and where prohibited by law. Subject to all applicable federal, state and local laws and regulations.


To be automatically entered into the Contest, you must have: baked an original creation (e.g. cake, cookies, brownies, etc.), and uploaded an original photo or video (see Submission Requirements For Photos/Videos and Content Restrictions) on (i) Facebook or Instagram by using the hashtags #betterwithmissjones, and tagging Miss Jones Baking Co. (@missjonesbakes), or (ii) via the online entry form provided at Your entry must have been in compliance with Content Restrictions as described in Section 13 below.

Your Entry will be moderated prior to any posting for possible inclusion on the Website and official Miss Jones Baking Co. social media accounts. If your Entry does not pass moderation, it will not be included on the Website or official Miss Jones Baking Co. social media accounts, and will not be eligible to be entered into the Contest. Photo must be png, jpg, or gif up to 3 MB in size (“Format”).

Normal Internet access and usage charges imposed by your online service provider will apply. If you do not have Internet access via a personal computer, your local library or Internet café may be able to provide access to the Internet and a number of Internet service providers and other companies that offer free email accounts.


During the Contest, you will disclose your relationship with Sponsor in any online posts you make which reference Miss Jones Baking Co. and/or the Bake-it-Better Challenge or any of their products or services by including the statement “I entered a Contest sponsored by Miss Jones Baking Co.” in any such online posts. If you are selected as a winner you will continue to disclose your relationship with Sponsor in all online posts you make that reference these companies or any of their products or services by including “#ContestWinner” or the statement “I received a prize from Miss Jones Baking Co.” in any such online posts.


All Entries must be received within the Submission periods described in Section 5. Entries are unlimited, but each individual entry must feature a unique original baked creation; multiple Entries of the same baked creation submitted by the same person will be counted as a single Entry. In event of a dispute regarding the identity of the person submitting an Entry, the Entry will be deemed to be submitted by the person in whose name the email address is registered at the time of entry. Entries by any method other than set forth above in Section 4 are void. Any use of automated or programmed methods of effecting Entry is prohibited. Sponsor does not warrant that access to Contest will be uninterrupted. Releasees are not responsible for Entries that are altered, delayed,deleted, destroyed, forged, fraudulent, improperly accessed, inaccurate, incomplete, interrupted, irregular in any way, late, lost, misrouted, multiple, non-delivered, stolen, tampered with, unauthorized, unintelligible or otherwise not in compliance with these Rules; or for lost, interrupted or unavailable network, server, Internet Service Provider, Website or other connections; telephone availability or accessibility; miscommunications; failed computer, satellite, telephone or cable transmissions, lines or technical failure; failed phone, computer hardware or software, failures, technical errors or difficulties; telephone transmissions; technical failures; unauthorized human intervention; traffic congestion; garbled or jumbled transmissions; undeliverable emails resulting from any form of active or passive email filtering; insufficient space in entrant’s email account to receive email; or other errors of any kind, whether due to electronic, human, mechanical, printing, production or technical errors or other causes; even if caused by the negligence of any of the Releasees. Each of such potential Entries will be disqualified. Void where prohibited and subject to all applicable federal, state, local and municipal laws and regulations.        

  1. CAMPAIGN PERIOD: Entries will be accepted online starting at 12:00 AM PST on November 9, 2016 and ending at 11:59 PM PST on December 23, 2016.
  1. DONATIONS: Contestants will be invited to post a photo to Instagram and/or Facebook using the hashtag #betterwithmissjones. The Sponsor will donate $1.00 to the SF-Marin Food Bank, up to $10,000, for each unique and original post with the hashtag #betterwithmissjones that is posted between 12:00 AM PST on November 9 and 11:59 PM PST on December 23. Members of the Miss Jones Baking Co. team (the “Contest Judges”) will at their sole discretion select one (1) Grand Prize winner and three (3) runners up received through December 23, 2016 based on the following criteria: (1) recipe creativity, (2) originality, and (3) compelling imagery provided in the entry. Contest Judges’ decisions are final.


One (1) winner of the Grand Prize will receive: $1,000 Visa gift card, KitchenAid(R) Stand Mixer in your favorite color, one (1) of every Miss Jones Baking Co. product (12 total products), Miss Jones Baking Co. Spatula, Miss Jones Baking Co. sweatshirt of your choice, Scharffen Berger Baking Chocolate Variety Pack, Mini Babycakes Donut Maker, and Williams-Sonoma Goldtouch(R) 6-pc Essentials Baking Set. Three (3) runners up will receive: A selection of Miss Jones Baking Co. baking products and apparel. Actual/appraised value may differ at time of prize award. The specifics of the prize shall be solely determined by Miss Jones Baking Co. No cash or other prize substitution shall be permitted except at Miss Jones Baking Co’s discretion. The prize is nontransferable. Any and all prize-related expenses, including without limitation any and all federal, state, and/or local taxes, shall be the sole responsibility of Winner. No substitution of prize or transfer/assignment of prize to others or request for the cash equivalent by Winner is permitted. Acceptance of prize constitutes permission for Miss Jones Baking Co. to use Winner’s name, likeness, and entry for purposes of advertising and trade without further compensation, unless prohibited by law. The Sponsor and their respective parent, related, affiliated, and subsidiary companies and their respective officers, directors agents, employees and assigns, shall be released and discharged from any and all legal claims, losses, injuries, demands, damages, actions, and/or causes of actions that arise out of and/or are in any way related to being a Winner. In the event of any conflict with any Contest details contained in these Rules and Contest details contained in point of sale, television and print advertising, promotional packaging, and other promotion media, the details of the Contest as set forth in these Rules shall prevail.  


The Winners will be notified via e-mail or social media within five (5) business days from the date the Winners are determined. At the sole discretion of the Sponsor, disqualification, forfeiture and the selection of any alternate Winners may result from any of the following: [1] the return of an email or social media message as undeliverable; [2] if requested, a Winner’s failure to provide Sponsor with satisfactory proof of age, identity and residency; [3] if requested, a potential Winner’s failure to execute and return an Affidavit of Eligibility/Liability/Publicity Releasees (“Affidavit”) within two (2) business days after its mailing; [4] any other non-compliance with Rules.


If you are chosen as a Winner, your information may be included in a publicly available winner list.


By entering this Contest and/or accepting any prize you may win, you agree that: [1] you have all rights, permissions and consents necessary to grant the rights to Sponsor as expressed herein; [2] you will abide by and be bound by the Rules and the Sponsor’s decisions (which shall be final and binding in all matters, including all issues of interpretation, relating to this Contest) and Privacy Policy; [3] the Entry becomes solely the Sponsor’s property and will not be acknowledged or returned; [4] you release and hold harmless the Releasees, from any and all liability for claims, injuries, losses or damages of any kind, including without limitation, death and bodily injury to any person or animal, resulting, in whole or in part, directly or indirectly, from the awarding, delivery, acceptance, use, misuse, possession, loss or misdirection of any prize; participation in the Contest or any Contest-related activity or from any interaction with, or downloading of, computer Contest information; [5] prize is awarded “AS IS” and WITHOUT WARRANTY OF ANY KIND, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose) and the Releasees do not make any representation, warranty or guarantee, express or implied, in fact or in law, relating to the Contest or prize; [6] a Winner’s acceptance of any Prize constitutes the grant to Sponsor or its designees and assigns of an unconditional right to use Winner’s Submission/Entry, name, address (city and state only), voice, likeness, photograph, biographical and prize information and/or statements about the Contest for any and all media now known or hereafter developed (including but not limited to programming, publicity, advertising and promotional purposes) without territorial or time limitations, and without additional compensation, notification or permission, except where prohibited by law; [7] in the event of fraud, technical failures, (including any network, server or hardware failure), viruses, bugs, errors

in programming, unauthorized human intervention, Acts of God, acts or regulations of any governmental or supra-national authority, war, national emergency, accident, fire, riot, strikes, lock-outs, industrial disputes, acts of terrorism or any errors or other matters beyond the Sponsor’s reasonable control, corrupt, prevent or impair the administration, security, fairness or proper play of the Contest, so that it cannot be conducted as originally planned, except where prohibited by law, Sponsor has the right, in its sole discretion, to modify the Rules or to cancel, modify, terminate or suspend the Contest; and in such event, to select Winners by such method as Sponsor in its sole discretion shall consider equitable; [8] the Releasees are not responsible for typographical or other errors in the offer or administration of this Contest, including but not limited to: errors in the advertising, Rules, selection and announcement of the Winners, [9] the Sponsor has the right, at any time and at its sole discretion, to disqualify any individual it suspects to be doing any of the following: (a) tampering or attempting to tamper with the entry process or the operation of the Contest or the Website; (b) violating the Rules; (c) violating the terms of service, privacy policy or other terms, conditions of use and/or general rules or guidelines of any Contest property or service; (d) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person or (e) for any other good cause as determined solely by the Sponsor; [10] Sponsor has the right to lock out an entrant whose eligibility is in question or who has been disqualified or is otherwise ineligible to enter the Contest; [11] since any attempt by any individual to damage the Website or undermine the legitimate operation of this Contest or the Website, including but not limited to any fraudulent claims, is a violation of these Rules as well as criminal and civil laws, and should Sponsor believe or become aware that such an attempt has been, is being, or will be made, it has the right to seek remedies and damages (including attorneys’ fees) from any responsible individuals to the fullest extent permitted by law, including without limitation criminal prosecution; [12] all disputes, claims and causes of action at law or in equity (individually, “Claim”) arising out of or relating to this Contest, the constructions, validity, meaning, interpretation and enforceability of these Rules or any prize awarded shall be resolved by applying the laws of California, without regard to conflict of laws provisions therein, and all entrants consent to the jurisdiction and venue of the State of California; [13] all Claims shall be resolved individually, without resort to any form of class action; [14] all Claims, judgments and awards

shall be limited to actual out-of-pocket costs incurred, but in no event include attorneys’ fees, and under no circumstances will any entrant be permitted to obtain awards for, and hereby waives all rights to claim, punitive, incidental, special, consequential damages and any other damages, other than for actual out-of-pocket expenses and waives all rights to have damages multiplied or otherwise increased; [15] Sponsor has the right to modify prize award procedures at its sole discretion; [16] the Releasees are not responsible for the cancellation or postponement of the prize  [17] Releasees are not responsible for any failure of delivery of Winner notification; [18] in the event of any conflict with any Contest details contained in these Rules, the details of the Contest as set forth in these Rules shall prevail, and [19] all Entries become the property of Sponsor and in no case shall be returned to sender. The invalidity or unenforceability of any provision of these Rules shall not affect the validity or enforceability of any other provisions.  In the event that any provision is determined to be invalid for otherwise unenforceable or illegal, these Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. These Rules govern over all other communication.


(a) Each Submission must depict Entrant’s original baked creation. If the Submission includes any human person other than the Entrant, the Entrant must have received permission from the human person in order to upload the Submission, and if the Submission includes any baked creation other than a baked creation made by the Entrant, the Entrant must have received permission from the maker of that baked creation in order to upload the Submission.

(b) Images of Sponsor’s products, logos, trademarks, etc. (“Sponsor’s Marks”) are not required in the Submission. LIMITED LICENSE: If you include them, then you may use Sponsor’s Marks for purposes of this Contest only. No other rights in or to Sponsor’s Marks are granted hereunder.

(c) The contents of the Entry must not infringe third-party rights by including, for example, the copyrights, trademarks, logos or products (such as company names, labels or symbols other than Sponsor’s Marks, to the extent permitted hereunder) or images that have been created, distributed, aired or published by others, such as those on or in websites, television, movies, or other media outlets. No names and/or likenesses of any human persons other than the Entrant may be included in the Entry unless Entrant has received permission to include names and/or likenesses in the Entry. The Entry may not refer to public figures, contain materials embodying the names, likenesses, photographs or contain other identifying elements of any person, living, or dead, without appropriate prior permission.

(d) Entry must be your original creation, has not been previously published, and has not won previous

awards. Modifying, enhancing or altering a third-party’s preexisting work does not qualify as your original creation.

(e) You agree to grant to Sponsor a non-exclusive, irrevocable, royalty-free, sub-licensable and transferable worldwide license, for any commercial and promotional purposes (without any consultation or additional permission, or compensation, credit or attribution) to use, re-use, reproduce, transmit, display, distribute, re-distribute, copy, store, modify, edit, adapt, translate, create derivative works based upon the Entry, in whole or in part, in all media, formats and channels now known or hereafter devised, for the duration of the rights in each country, area and space, and throughout the universe, in perpetuity and in all languages, formats and versions.

(f) You are responsible for, and must have obtained, prior, written approval from any identifiable member of the Submission (or such person’s Parent if such person is a Minor as defined by state of primary residence) or baked creation (if that baked creation was made by another person other than Entrant) that appears in, is mentioned in, or otherwise contributed to the creation of the Submission (each a “Third-Party Participant”), for you to include such person or baked creation in the Submission. By entering, you represent and warrant that you have obtained such permission and all other necessary authorizations from any Third-Party Participant (or such Third-Party Participant’s Parent if Third-Party Participant is a Minor) allowing use of such person’s name, likeness or contribution in the Submission, and you and each Third-Party Participant (or such Third-Party Participant’s Parent if Third-Party Participant is a Minor) agree to and do hereby assign all rights for usage to Sponsor. You may be required, at any time, to provide Sponsor with evidence of all such written permission(s) and authorizations immediately upon request, and if you do not provide such evidence you may be disqualified and rendered ineligible to receive a prize in this Contest.

(g) There may be only one (1) named Entrant for each Entry submitted, regardless of the number of persons who may have contributed to the creation of the Entry. If you think that any Entry infringes your intellectual property rights, you may report it via mail: Miss Jones Baking Co., 5900 Hollis St., Suite W., Emeryville, CA 94608, or via email: ENTRIES POSTED TO THE WEBSITE WERE NOT EDITED BY SPONSOR OR ENTITIES AND ARE THE VIEWS/OPINIONS OF THE INDIVIDUAL ENTRANT AND DO NOT REFLECT THE VIEW OF SPONSOR OR ENTITIES IN ANY MANNER.


Content that may NOT be contained in an Entry includes, but is not limited to, the following:

(a) with the exception of personal information of the Entrant as requested for purposes of contacting a potential Winner, any content providing personally identifiable information about yourself or any third parties, such as last name, address, phone number or any contact information;

(b) content in violation of third-party rights including, but not limited to: copyrights, trademark, logos, trade dress (such as distinctive packaging or building exteriors/interiors), any intellectual property owned by others, right of publicity or any other proprietary rights;

(c) content that is libelous, threatening, harassing, offensive, defamatory, disparaging or tortious;

(d) content that is pornographic, adult-oriented or sexually-explicit;

(e) content portraying or referring to lotteries or gambling;

(f) content portraying or including explicit or offensive language;

(g) content portraying or advocating violence;

(h) content portraying or referring to people or characters from movies/shows, etc.;

(i) content portraying or advocating discrimination;

(j) content portraying or advocating illegal activities;

(k) content portraying or advocating tobacco, alcohol, drugs, firearms/weapons (or the use of any of the foregoing), any activities that may appear unsafe or dangerous, or any particular political agenda or message;

(l) content portraying or advocating dangerous stunts;

(m) content portraying or referring to weapons of any kind including, but not limited to, guns or bombs;

(n) content that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation, age or any basis protected by federal, state, or local law, ordinance, or regulation;

(o) content that denigrates, disparages or reflects negatively on the Sponsor, its products or its employees, or on any other person, company, product or service;

(p) content portraying or referring to any brand or product of any kind other than the Sponsor’s, including, but not limited to, any of Sponsor’s competitors, any of the Entities’ competitors, or contain any personal identification, such as license plate numbers, personal names, e-mail addresses or street addresses;

(q) communicate messages or images inconsistent with the positive image and/or goodwill to which Sponsor wishes to associate;

(r) show or promote cruelty, harm, abuse or exploitation of animals;

(s) violate any law or otherwise be inappropriate; all as determined by Sponsor in its sole discretion.

If an Entry includes any of the prohibited elements listed above, the Entry will be disqualified, along with the Entrant who submitted it.

The above list is not intended to be exhaustive; Sponsor may disqualify any Entry if it contains a Video or Voiceover that Sponsor deems, in its sole discretion, to be offensive or obscene in any way or to not be in compliance with the Rules.

Sponsor reserves the right to post any Entry submitted in this Contest on its website, on any other website controlled by Sponsor, and on social media. Sponsor reserves the right to, and may or may not, monitor/screen Entries prior to posting them to the web site.  By submitting an Entry, you acknowledge that Sponsor has no obligation to use or post any Entry you submit and you hereby agree to grant the rights granted herein in and to the Entry to Sponsor, its affiliates and agents, and forever release and hold Releasees, and their respective affiliates and subsidiaries, and the officers, directors and employees of each of the foregoing, harmless from and against any liability of any kind arising from or in connection with any use of the Submission. By submitting an Entry, you agree that your Submission is gratuitous, unsolicited and without restriction, and will not place Sponsor under any obligations other than those contained in these Rules, and that Sponsor is free to disclose the ideas contained in the Entry on a non-confidential basis to anyone or otherwise use the ideas without any compensation to you. You further acknowledge that Sponsor does not waive any rights to use similar or related ideas previously known to Sponsor, or developed by its employees, or obtained from sources other than you. By submitting an Entry, you hereby warrant and represent that you have not included any restricted content (see list of content restrictions

above) in the Entry and have not violated any of the requirements for Entries listed above. You acknowledge and agree that you will not now or in the future be paid or compensated in any way for your Entry or for granting the Sponsor any of the rights set out in these Rules, and that Sponsor is not obligated to make use of any of the rights granted in these Rules.
